Terms of Service

Draft notice: These terms are operating as a working draft pending review by California-licensed counsel. They will be replaced with attorney-reviewed text prior to commercial launch. By using the service today, you accept these terms in their current form.

1. Acceptance of Terms

By creating an account or using Studio by Bichachi (the "Service"), you agree to be bound by these Terms of Service ("Terms"). The Service is operated by Asaf Loya, an individual doing business as Studio by Bichachi in California, USA ("Company," "we," "us," or "our"). If you do not agree to these Terms, do not use the Service.

2. Eligibility

You must be at least 18 years of age and capable of forming a binding contract to use the Service. By using the Service, you represent that you meet these requirements.

3. The Service

Studio by Bichachi provides AI-assisted product photography generation. You upload reference photos of your product; the Service generates composite marketing imagery using artificial intelligence. The Service is offered on a credit-based pricing model and includes a free trial period.

4. Your Account

You are responsible for maintaining the confidentiality of your account credentials.
You agree to provide accurate, current, and complete account information.
You may not share your account, transfer it, or use another user's account.
We may suspend or terminate your account for violations of these Terms, fraudulent activity, or unlawful use of the Service.

5. Content and Intellectual Property

Your content. Photographs of your products that you upload remain your property. By uploading them, you grant us a non-exclusive, royalty-free license to process them solely for the purpose of generating your AI imagery and providing the Service.

Generated output. Once a generation is complete and credits are charged, the resulting AI Generated Images become your property. You may use them for any lawful commercial purpose. We do not retain residual rights in your output.

Storage of your images. To deliver the Service, your uploaded reference photographs and the AI Generated Images you create are stored on our secure third-party cloud storage. We retain your AI Generated Images so they remain available to you in your account Gallery for viewing and re-download, and we keep your uploaded reference photographs only as needed to operate, support, and secure the Service. You may request deletion of your stored images at any time by contacting support@bichachi.com, subject to any retention we are required by law to maintain.

Your proprietary rights; our commitments. As between you and us, the AI Generated Images are yours, and you hold all proprietary rights in them. We act solely as a custodian that stores and delivers your images back to you. We will never sell, rent, license, publish, display, distribute, or otherwise commercially exploit your AI Generated Images or your uploaded reference photographs, and we will never use them to train, fine-tune, or improve any artificial-intelligence model. We will not use your images for our own marketing, promotion, or any other purpose without your prior, explicit, written permission. We access your stored content only as necessary to operate, secure, troubleshoot, or provide support for the Service, or where required by law.

Copyright in AI-generated output. You retain ownership of the AI Generated Images as between you and us. You acknowledge, however, that under prevailing United States copyright law, purely AI-generated imagery lacking sufficient human creative authorship is generally not eligible for federal copyright registration. We yield all rights we may have in the AI Generated Images to you, but we make no covenant, representation, or warranty regarding the copyrightability or enforceability of the AI Generated Images against third-party copying, scraping, or competitive use. Where copyright protection matters to your business, you are responsible for adding sufficient human creative input (e.g., post-production editing, selection-and-arrangement, integration into a larger creative work) to meet the human-authorship threshold.

Our trademarks and brand. The names "Studio by Bichachi" and "Bichachi" and our visual branding are our intellectual property. You may not use them except as expressly permitted.

6. Acceptable Use

You agree not to use the Service to:

Generate images of identifiable individuals without their consent (see our VIP custom model program for the proper workflow).
Upload reference photographs that are primarily a portrait or selfie of an identifiable person. Reference photographs should depict your product; a hand holding or wearing the product, without a recognizable face or body in frame, is permitted. We use automated detection to enforce this rule; violations may result in account suspension or termination.
Upload photographs you do not have lawful rights to use.
Create content that is sexually explicit, violent, harassing, hateful, or otherwise unlawful.
Misrepresent AI-generated content as endorsements or testimonials by real persons.
Attempt to reverse-engineer, scrape, or circumvent any technical limitations of the Service.
Use the Service to compete with us or build a competing product.
Resell access to the Service without our written permission.

7. VIP Custom Models

Our VIP program allows approved customers to upload reference photos of specific individuals for use as custom models. This program requires a signed Likeness Release Agreement from the depicted person and a signed Indemnification Addendum from the account holder. Custom models must be reviewed and approved by us before activation. We may decline any custom model submission at our sole discretion.

8. Payment and Refunds

Paid plans are purchased as one-time credit packs (not recurring subscriptions).
Payment is processed by Stripe, Inc. Their terms and privacy policy apply to payment processing.
Credits do not expire under normal account activity.
Failed generations are automatically refunded as credits to your account.
We do not provide cash refunds for unused credits except as required by law.
Prices are listed in U.S. dollars and may be revised; existing credit balances are honored at their original purchase value.

9. Privacy

Our handling of your personal data is described in our Privacy Policy, which is incorporated by reference.

10. Service Availability

We aim for high availability but do not guarantee uninterrupted operation. The Service may be unavailable for maintenance, upgrades, or due to factors outside our control. We are not liable for any losses resulting from Service unavailability.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE GENERATED IMAGES WILL MEET YOUR EXPECTATIONS, BE FREE OF DEFECTS, OR BE SUITABLE FOR ANY PARTICULAR PURPOSE. AI GENERATION IS PROBABILISTIC; OUTPUT QUALITY VARIES.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS, OR (B) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, OR LOSS OF DATA.

13. Indemnification

You agree to indemnify, defend, and hold harmless Studio by Bichachi and its owner from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your content, your violation of these Terms, or your violation of any third party's rights.

14. Termination

You may close your account at any time by contacting support@bichachi.com. We may suspend or terminate your account for violations of these Terms or for unlawful activity. Upon termination, your right to use the Service ends, but provisions that should reasonably survive (intellectual property, indemnification, limitation of liability) will continue.

15. Governing Law and Jurisdiction

These Terms are governed by the laws of the State of California, USA, without regard to conflict-of-laws principles. Any dispute arising out of or related to these Terms shall be brought exclusively in the state or federal courts located in Los Angeles County, California, and you consent to the personal jurisdiction of those courts.

16. Changes to These Terms

We may revise these Terms from time to time. Material changes will be communicated by email or via in-product notice. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
